Lawyer - M/F - Permanent Contract
FDJ United is seeking a legal professional to join its corporate legal team within the General Secretariat. The role involves supporting group companies across various corporate law, governance, and stock market law matters. The successful candidate will act as a key partner to the group's departments and support functions.
This position offers the opportunity to work on a broad scope of responsibilities, including the preparation of general meetings, corporate operations, stock market law, and transformation projects. - Contribute to the monitoring of the corporate life of FDJ SA and group companies and participate in the organisation of governance body meetings.
- Prepare annual legal calendars and ensure compliance with legal deadlines.
- Monitor executive compensation, incentive plans, and employee shareholding schemes.
- Participate in the application and monitoring of applicable stock market regulations.
- Secure periodic and permanent information obligations.
- Contribute to the preparation of the Universal Registration Document and coordinate various contributors.
- Contribute to the drafting of necessary legal documentation such as resolutions, reports, and notices.
- Coordinate stakeholders including the Finance Department, statutory auditors, General Management, and shareholders.
- Ensure the smooth running of general meetings and follow up on decisions taken.
- Carry out current and exceptional corporate operations including account approval, dividend distribution, appointments, mandate renewals, statutory modifications, capital increases or reductions, mergers, demergers, restructurings, and liquidations.
- Draft and update articles of association and corporate documentation.
- Perform legal formalities with competent authorities.
- Advise business departments on governance and corporate law issues.
- Identify legal risks and propose pragmatic solutions.
- Ensure legal and regulatory monitoring and disseminate developments to relevant stakeholders.
- Master 2 degree in Law (business law, corporate law, or equivalent) (required).
- 2 to 5 years of experience in a listed company or law firm (required).
- Solid knowledge and proven experience in corporate and stock market law (required).
- Excellent legal analysis and drafting skills (required).
- Ability to assess risks and propose pragmatic solutions (required).
- Synthesis skills, rigour, and autonomy (required).
- Interpersonal skills and ability to work transversally (required).
- Mastery of legal drafting and negotiation techniques (required).
- Good command of legal English, both written and spoken (preferred).
- Fixed salary based on experience paid over 13 months.
