Legal Counsel, Corporate and M&A
Entain is looking for a Legal Counsel, Corporate and M&A to support the company's corporate and M&A activities. The role involves ensuring legal compliance, mitigating risks, and contributing to strategic decision-making within the Corporate legal team.
The successful candidate will report to the Group Head of Legal - Corporate and International. They will provide legal advice on a broad range of corporate and strategic matters, build relationships with internal stakeholders, and manage complex projects in a fast-paced environment.
- Assist with executing transactions across the capital structure, including acquisitions and disposals, joint ventures, and other strategic corporate transactions.
- Lead on ancillary transaction and other corporate documentation, including NDAs and engagement letters, while managing external counsel where appropriate.
- Support the preparation of internal papers summarising proposed transactions and associated risks for review and approval by the board of Entain plc.
- Support the business on other corporate initiatives as required, including group reorganisations, restructurings, and intragroup financing arrangements.
- Help with the development of policies and processes to support the Corporate Legal function.
- Proven experience in corporate law (3+ years PQE), with a focus on mergers and acquisitions (required).
- Excellent understanding of corporate governance principles (required).
- Strong negotiation skills and experience in drafting complex legal agreements (required).
- Ability to work collaboratively and communicate effectively with internal and external stakeholders (required).
- Experience working in a corporate legal department or reputable law firm (required).
- Familiarity with industry-specific regulations and compliance requirements (required).
